1. Agreement
These Terms of Service ("Terms") govern your access to and use of the products, services, and websites (collectively, the "Services") offered by Allmire, Inc. ("Allmire", "we", "us"). By creating an account or using the Services, you agree to these Terms.
2. Eligibility
You must be at least 18 years old and authorized to bind your organization to these Terms. You agree to provide accurate, current, and complete information during registration and to keep it updated.
3. Accounts & responsibilities
- You are responsible for safeguarding your account credentials and all activity under your account.
- Notify us promptly of any unauthorized access or security incident.
- You are responsible for the conduct of your employees and end users who access the Services through your account.
4. Acceptable use
You agree not to use the Services to:
- Violate any applicable law, regulation, or third-party right (including TCPA, CAN-SPAM, and 10DLC rules)
- Send unsolicited or unlawful communications
- Distribute malware, harmful code, or attempt to compromise the integrity of the Services
- Reverse-engineer, scrape, or otherwise misuse the Services
- Impersonate another person or entity
5. Subscription & billing
Paid subscriptions renew automatically until canceled. Fees are billed in advance on the cadence selected at signup (monthly or annual). Overages (e.g., additional texts beyond your plan allotment) are billed at the listed per-unit rate. You authorize us to charge your payment method for all applicable fees.
Cancellation takes effect at the end of the current billing period. Fees already paid are non-refundable except where required by law.
6. Intellectual property
Allmire and its licensors retain all right, title, and interest in the Services, including all related intellectual property. We grant you a limited, non-exclusive, non-transferable license to use the Services in accordance with these Terms.
7. Customer data
You retain ownership of the content and data you submit through the Services ("Customer Data"). You grant Allmire a worldwide, non-exclusive license to use Customer Data solely to provide and improve the Services and as further described in our Privacy Policy.
8. Termination
We may suspend or terminate your account for breach of these Terms, non-payment, or activity that risks harm to Allmire, our users, or third parties. You may terminate your account at any time through your account settings.
9. Disclaimers
The Services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, to the maximum extent permitted by law. Allmire does not warrant that the Services will be uninterrupted, error-free, or secure.
10. Limitation of liability
To the fullest extent permitted by law, Allmire will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill arising from your use of the Services. Our aggregate liability will not exceed the fees you paid us in the 12 months preceding the claim.
11. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles. Disputes will be resolved in the state or federal courts located in Delaware, and the parties consent to that exclusive jurisdiction.
